I don't see it happening, but if you are looking for a reason:
Big Ten shares revenue.
Notre Dame is all about not joining a conference because of the loss of revenue they would see.
Big 12 does not share revenue.
Notre Dame could maintain current level of revenue and have the benefits of a conference tie-in.

The Big 12 does share revenue, just not all of it. I'm pretty sure the Bowl game and NCAA basketball tournament money gets split evenly among all the schools. I think it is only the regular season TV appearance money that doesn't get shared. Even then there might be a small percentage of it that is split but maybe not.
